Terms & Conditions

Introduction

These Terms and Conditions ("Terms") govern your access to and use of the services provided by Verace AGI ("Verace," "we," "us," or "our"), including our website at verace.in, API services, metacognitive adapter products, documentation, and any related services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you must not access or use the Services.

Definitions

  • "Adapter" means the Verace metacognitive adapter layer — proprietary software that wraps open-weight LLMs to provide per-token confidence scores, uncertainty signals, and hallucination detection.
  • "API" means the application programming interface through which Customers access the Adapter and related functionality.
  • "Customer" means any individual or entity that registers for, accesses, or uses the Services.
  • "Customer Content" means any data, prompts, text, or other materials that the Customer submits to the Services for processing.
  • "Output" means any data, confidence scores, uncertainty signals, or model responses generated by the Services in response to Customer Content.
  • "Intellectual Property Rights" means all patents, copyrights, trade secrets, trademarks, know-how, and all related rights worldwide.
  • "Feedback" means suggestions, feature requests, bug reports, or other input provided by the Customer regarding the Services.

Account & Registration

To access certain features of the Services, you may be required to create an account. When registering, you agree to:

  • Provide accurate, current, and complete information during the registration process
  • Maintain and promptly update your account information to keep it accurate and complete
  • Maintain the security and confidentiality of your API keys, access tokens, and login credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account or any other security breach

We reserve the right to suspend or terminate your account if any information provided is found to be inaccurate, incomplete, or in violation of these Terms.

License & Access

Subject to your compliance with these Terms and payment of applicable fees, Verace grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes.

This license does not include the right to:

  • Sublicense, resell, or redistribute the Services or any component thereof
  • Reverse engineer, decompile, or disassemble the Adapter or any underlying algorithms
  • Use the Services to build a competing product or service
  • Remove, alter, or obscure any proprietary notices, labels, or marks on the Services

Usage Restrictions

You agree not to use the Services to:

  • Violate any applicable law, regulation, or third-party rights
  • Process, store, or transmit sensitive personal data (including health records, biometric data, financial account numbers, or government-issued identifiers) unless expressly authorized under a separate data processing agreement
  • Generate, distribute, or facilitate the creation of harmful, fraudulent, deceptive, or illegal content
  • Attempt to circumvent rate limits, access controls, or security measures
  • Introduce malware, viruses, or any other harmful code into the Services
  • Use automated means to scrape, harvest, or extract data from the Services beyond authorized API usage
  • Misrepresent the source, accuracy, or reliability of Outputs, including representing AI-generated confidence scores as human expert assessments

We reserve the right to immediately suspend or terminate access to the Services, without prior notice, if we reasonably believe that your use poses a security risk, may harm other users, or violates these Terms.

API Terms

Rate Limits & Fair Use

API access is subject to rate limits as specified in your service plan. We reserve the right to throttle or restrict access if usage significantly exceeds normal patterns or threatens service stability for other users.

Availability

We will use commercially reasonable efforts to maintain API availability. However, the Services are provided on an "as available" basis. Scheduled maintenance windows will be communicated in advance where possible.

Versioning & Deprecation

We may update, modify, or deprecate API versions over time. Where practical, we will provide at least 90 days' notice before deprecating an API version. Continued use after deprecation is at your own risk.

Integration Requirements

You are responsible for ensuring that your systems and integrations are compatible with the Services. We are not liable for issues arising from incompatible software, third-party dependencies, or Customer-side infrastructure failures.

AI-Generated Content

Important: The Services enhance LLMs with uncertainty awareness and confidence signals. Outputs — including confidence scores, uncertainty estimates, and model responses — are generated by artificial intelligence and are not a substitute for professional human judgment.

You acknowledge and agree that:

  • No guarantee of accuracy: While our Adapter significantly improves hallucination detection (91.7% AUROC in validation), no AI system is infallible. Confidence scores are probabilistic estimates, not certainties.
  • Human oversight required: Outputs should be reviewed by qualified personnel before being relied upon for critical decisions, particularly in healthcare, legal, financial, or safety-critical applications.
  • Not professional advice: Outputs do not constitute medical, legal, financial, or any other professional advice. You are solely responsible for decisions made based on Outputs.
  • Shared outputs: Due to the nature of AI models, different Customers may receive similar or identical Outputs for similar inputs. Outputs are not guaranteed to be unique.

Customer Data

Ownership

You retain all rights, title, and interest in your Customer Content. Verace does not claim ownership over any data you submit to the Services.

Processing

Customer Content is processed in memory during inference and discarded immediately upon response delivery. We do not store, log, or retain the content of your API requests or responses unless you explicitly opt into a data retention feature.

No Training on Customer Data

We do not use Customer Content to train, fine-tune, or improve our models or Adapter unless you explicitly opt into our model improvement program. This is disabled by default and requires affirmative consent.

Isolation

All inference processing occurs in sandboxed, isolated environments. Your data is never co-mingled with other Customers' data during processing.

Intellectual Property

Verace IP

The Services, including the Adapter, mathematical framework, training protocols, algorithms, software, documentation, and all related Intellectual Property Rights, are and remain the exclusive property of Verace AGI. These Terms do not transfer any ownership rights to you.

Customer IP

You retain all Intellectual Property Rights in your Customer Content. You grant Verace a limited, non-exclusive license to process your Customer Content solely for the purpose of providing the Services.

Output Ownership

Subject to these Terms and any applicable third-party LLM licenses, you own the Outputs generated through your use of the Services. Verace retains no rights to your Outputs.

Feedback

If you provide Feedback, you grant Verace an irrevocable, perpetual, royalty-free, worldwide license to use, modify, and incorporate such Feedback into the Services without attribution or compensation.

Confidential Information

"Confidential Information" means any non-public information disclosed by either party to the other that is designated as confidential or that a reasonable person would understand to be confidential, including but not limited to: business plans, Customer Content, technical specifications, API keys, pricing terms, and proprietary algorithms.

Each party agrees to:

  • Use the other party's Confidential Information solely for the purpose of fulfilling obligations under these Terms
  • Protect Confidential Information with at least the same degree of care used to protect its own confidential information, and in no event less than reasonable care
  • Not disclose Confidential Information to third parties except as required by law (with prompt notice to the disclosing party where permitted) or to employees and contractors with a need to know who are bound by confidentiality obligations

Payment & Fees

Pricing

Fees for the Services are as set forth in the applicable service plan or order form. All fees are quoted in US Dollars unless otherwise specified.

Payment Terms

Fees are due in advance for subscription plans and in arrears for usage-based billing, payable within 30 days of invoice date. Late payments may accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law.

Taxes

All fees are exclusive of applicable taxes. You are responsible for paying all taxes, duties, and levies imposed by applicable taxing authorities, except for taxes based on Verace's net income.

Refunds

Subscription fees are non-refundable except as required by applicable law. If you believe you have been incorrectly charged, contact us within 10 days of the charge for review.

Suspension for Non-Payment

We may suspend access to the Services if payment is overdue by more than 15 days. Access will be restored upon receipt of all outstanding amounts.

Warranties & Disclaimers

Our Warranty

Verace warrants that the Services will perform substantially in accordance with the applicable documentation during the subscription period. If the Services fail to conform to this warranty, your exclusive remedy is for Verace to use commercially reasonable efforts to correct the non-conformity or, if correction is not feasible, to terminate the affected Services and provide a pro-rata refund of prepaid fees.

Disclaimer

EXCEPT AS EXPRESSLY SET FORTH ABOVE, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." VERACE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

Without limiting the foregoing, Verace does not warrant that:

  • The Services will be uninterrupted, error-free, or secure
  • Confidence scores or uncertainty estimates will be accurate in all cases
  • The Services will detect all instances of hallucination or factual inaccuracy
  • The Services will meet your specific business requirements or expectations

Indemnification

By Verace

Verace will defend, indemnify, and hold you harmless from any third-party claim alleging that the Services, as provided by Verace and used in accordance with these Terms, infringe a third party's Intellectual Property Rights, and will pay any resulting damages finally awarded or settlements approved by Verace.

By Customer

You will defend, indemnify, and hold Verace harmless from any third-party claim arising from: (a) your Customer Content; (b) your use of the Services in violation of these Terms; or (c) your violation of applicable law.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VERACE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS EXCEED THE AMOUNTS PAID BY YOU TO VERACE DURING THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

IN NO EVENT SHALL VERACE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, REGARDLESS OF THE THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Exceptions: The limitations above do not apply to: (a) Verace's indemnification obligations; (b) liability arising from Verace's gross negligence or willful misconduct; or (c) liability for breach of confidentiality obligations relating to Customer Content.

Termination

By Customer

You may terminate your account and these Terms at any time by providing written notice to Verace. Termination takes effect at the end of the current billing period. No refunds will be issued for partial billing periods unless required by applicable law.

By Verace

We may terminate or suspend your access to the Services:

  • For cause: Immediately upon written notice if you materially breach these Terms and fail to cure such breach within 15 days of notice
  • For safety: Immediately without notice if your use poses an imminent security risk or threat to other users
  • For inactivity: If your account has been inactive for more than 12 months, with 30 days' prior notice

Effect of Termination

Upon termination:

  • Your license to access the Services immediately ceases
  • API keys and access tokens are revoked
  • We will delete your account data within 30 days, unless retention is required by law
  • Sections that by their nature should survive termination (including Intellectual Property, Confidentiality, Limitation of Liability, and Indemnification) will continue in effect

Force Majeure

Neither party shall be liable for any failure or delay in performing its obligations under these Terms to the extent such failure or delay results from circumstances beyond its reasonable control, including but not limited to: natural disasters, acts of government, pandemic, war, terrorism, labor disputes, power failures, internet disruptions, or cyberattacks.

If a force majeure event continues for more than 60 days, either party may terminate the affected Services upon written notice.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts located in Jaipur, Rajasthan, India.

These Terms, together with any applicable order form or data processing agreement, constitute the entire agreement between you and Verace regarding the Services and supersede all prior or contemporaneous agreements, understandings, or representations.

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect. Verace's failure to enforce any right or provision shall not constitute a waiver of such right or provision.

Modifications

We may modify these Terms from time to time. Material changes will be communicated via email to registered users or through a prominent notice on our website at least 30 days before they take effect.

Your continued use of the Services after the effective date of any modifications constitutes acceptance of the updated Terms. If you do not agree with the modifications, you must discontinue use of the Services before the effective date.

We may also update, modify, or discontinue features of the Services at any time. Where practical, we will provide advance notice of material changes to functionality.
